What is a Private Limited Company?

A Private Limited Company (Pvt Ltd) is the most popular business structure in India for startups, SMEs, and growing ventures. It provides limited liability protection to shareholders while enabling easy fundraising, credibility, and structured ownership.

Step-by-Step Registration Process

Step 1: Obtain Digital Signature Certificate (DSC)

All directors must possess a Class-3 Digital Signature Certificate. DSC is required to digitally sign MCA forms. Typically takes 1-2 business days.

Step 2: Apply for Director Identification Number (DIN)

DIN is a unique identification number allotted to every director. This is now integrated into the SPICe+ form and no separate application is needed.

Step 3: Name Approval via RUN (Reserve Unique Name)

Submit two proposed company names in order of preference on the MCA portal. Names must be unique and not misleading. Approval typically takes 1-3 days.

Step 4: File SPICe+ Form

SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) is an integrated web form that allows simultaneous application for Company Incorporation, DIN allotment, PAN, TAN, GSTIN, EPFO, ESIC, Professional Tax, and Opening of Bank Account.

Step 5: Certificate of Incorporation

Upon approval, MCA issues a Certificate of Incorporation (CIN), which is your company's official birth certificate. You also receive a PAN and TAN.
